Luciano Penha President

Mr. Luciano has a degree in Administration with a specialization in Marketing from ESAMC/ESPM, an MBA in Business Management from FGV and a Post-MBA from Fundação Dom Cabral and Northwestern University (Kellogg School of Management). Professional with 20 years of experience in people and business management, having already held the position of Commercial Director and Vice-President of Policard, where he worked for more than 20 years and led the sale of the company to Grupo Up, remaining for another 4 years as General Director of Grupo Up. He is currently an investor and entrepreneur in the capital markets, real estate and consultancy.

Marcelo Bernabé Independent Advisor

Mr. Marcelo has a degree in Economics from Insper and a postgraduate degree in Business Administration with an extension in finance from FGV.
He began his career at Unibanco, where he moved through different areas and products, and in 2006 took on the position of variable income fund manager at the bank. In 2009, he took over as manager at Brasil Warrant Gestão de Investimentos, with an average managed portfolio of R$650 million. In 2017, he became a partner and manager at Kapitalo, with approximately R$1.5 billion under management. Since 2021 he has also been an advisor to Melnick Even Desenvolvimento.

Ricardo Magalhães Independent Advisor

Senior partner at Argucia Capital Management since 2005. He served as Investment Superintendent at Mellon Global Investments Brasil (Portfolio Manager), being responsible for the variable income area from 1998 to 2005. Previously, in 1997, he worked at Brookfield Asset Management (Bank Brascan), where he was later responsible for transferring funds to the joint venture that created Mellon Brascan Asset Management, which became BNY Mellon Arx. Between 1994 and 1997 he worked at Banco Gulfinvest managing variable income operations for the bank’s treasury and the variable income fund portfolio. Between 1992 and 1994 he worked at Banco Nacional as an Analyst.
Ricardo Magalhães has a degree in Electrical Engineering, emphasis on Systems (1992) from PUC–Rio, with a Postgraduate degree in Financial Engineering from PUC-Rio in 2000. He has a Master’s degree in Production Engineering (concentration in Investment and Finance analysis) from PUC -Rio (July/2003). He studied the PEC in Corporate Law and Capital Markets at FGVDireito Rio in 2003. He graduated in OPM from Harvard Business School.
He served as Fiscal Councilor of Refinaria Ipiranga in 2007/2008 and on the Fiscal Council of Contax 2010/2011. CESP 2018/19, Smiles Fidelidade from 2018 to 2021, and Neoenergia Elekro Redes since 2018. He is a member of the Board of Directors of Caixa Econômica Federal since February 2022. Holds the CFA certification granted by the CFA Institute and is a member of CFA Society Brazil.
Ricardo participated in the ANBIMA Equity Fund Committee and the AMEC Technical Committee and is a member of the global governance committee of the Entrepreneurs Organization, and was president and financial director of the Rio de Janeiro chapter of the Entrepreneurs Organization.

Joaquim Saldanha e Souza Independent Advisor

Joaquim Saldanha e Souza has more than 25 years of international experience as an investor and senior executive in investment banking, capital markets and telecommunications. Furthermore, he has extensive experience as an advisor to financial and non-financial institutions. He began his career in consultancy and investment banking in Portugal. Between 2000 and 2006 he was a senior executive at the Portugal Telecom Group in Brazil, having been Director of M&A and Business Development at Telesp Celuar/Vivo and CFO at Primesys. In 2006 he moved to London where he was Senior Analyst and Partner at Dynamo Capital until 2009 and 2010 was co-founder and manager of a hedge fund focused on emerging markets. In 2012 he returned to Portugal and was appointed to the Board of CaixaBI, one of the main banks
investment in Portugal (Grupo Caixa Geral de Depósitos), having been promoted to CEO in 2013. Between 2012 and 2020 he was also a member of the Board of Directors of several financial institutions associated with the CGD Group: Banco Caixa Geral Brasil, CGD Securities CVC, BNI (Mozambique), BISTP (São Tomé and Príncipe) and CIFI (Panama).
After almost 7 years as CEO of CaixaBI, he left the CGD Group at the beginning of 2020 and has acted as a private investor and consultant for Family Offices and companies in both Europe and Latin America. He also acts as an independent advisor, having been advisor to Veste S/A until the end of 2022, and is currently a Member of the Board of Directors of CIFI (Corporación Interamericana para el Financiamiento de Infraestrutura SA), a financial entity with multilateral shareholders specializing in Project Finance financing in Latin America, and Fundbox SCR, a Portuguese investment management company Venture Capital funds.
He graduated in Economics and Finance from the Nova School of Business and Economics (1993) and has an MBA from the University of Virginia Darden School of Business (1999).

Luciano Pascon Independent Advisor

Mr. Luciano graduated in Veterinary Medicine from UEL (State University of Londrina) in 1991, has an MBA in Marketing (2000) and Financial Management, Controlling and Auditing (2012) from FGV-RJ, in 2017 he completed the Counselor Training course of Administration by IBGC. He was CEO of the company Frigol S.A., between 2016 and 2020, the fourth largest beef refrigeration company in Brazil. He is currently a partner at UK Finance Consultoria Ltda, where he consults in the area of ​​Governance and Corporate Management of family businesses. He is a Board Member at the start-up Ecotrace Solutions, a Family Advisor at Crochiquia Agropecuária and a Tax Advisor at Veste S.A. He also has equity interests in Trading Company, Foodinnex America LLC and in fuels and lubricants, Negrão e Pascon Ltda.
